Welcome to PUMPKIN TECHNOLOGY. By accessing or using our website, platform, SDK, or related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our Services.
1. Acceptance of Terms
By using our Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
PUMPKIN TECHNOLOGY provides programmatic advertising technology, including but not limited to real-time bidding (RTB) solutions, advertiser solutions, HTML5 advertising solutions, and SDK-based monetization for publishers. The specific features, scope, and availability of the Services may be described in separate agreements or product documentation.
3. Eligibility and Registration
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. Certain Services may require registration. You agree to provide accurate and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4. Use of Services
You agree to use the Services only in compliance with these Terms, applicable laws, and our policies. You shall not:
- Use the Services for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to our systems, networks, or other users’ accounts.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or disassemble the Services or any part thereof, except where permitted by law.
- Use the Services to distribute malware, fraudulent traffic, or content that infringes third-party rights.
5. Intellectual Property
All intellectual property rights in the Services, including software, designs, trademarks, and content, remain the property of PUMPKIN TECHNOLOGY or its licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without our prior written consent.
6. Data and Privacy
Our collection and use of personal and other data in connection with the Services are described in our Privacy Policy. By using the Services, you consent to such processing. Where you integrate our SDK or use our platform as a publisher or advertiser, additional data processing terms may apply as set out in your agreement with us.
7. Fees and Payment
Fees for paid Services will be set forth in your agreement or order form. You agree to pay all applicable fees in accordance with the payment terms provided. We reserve the right to modify pricing upon reasonable notice where permitted by your agreement. Failure to pay may result in suspension or termination of the Services.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUMPKIN TECHNOLOGY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD 100), WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless PUMPKIN TECHNOLOGY and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms or for any other reason with reasonable notice where required. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PUMPKIN TECHNOLOGY is established, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the courts of that jurisdiction, unless otherwise agreed in writing.
13. Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
